In order to purchase a Market Report you must first read and accept these Conditions:

1. INTRODUCTION

These Conditions take effect as an agreement between you and us, Garrad Hassan & Partners Limited registered in England & Wales with company number 1878456, registered office: St Vincent's Works, Silverthorne Lane, Bristol, BS2 0QD, UK (“Garrad Hassan”), if you purchase a copy of a Market Report. By clicking “I accept” you thereby to these Conditions for the supply of Market Reports.

Your order represents an offer from you to us to purchase a copy of a Market Report in accordance with these Conditions which is accepted by us when we dispatch the Market Report to you or otherwise make it available to you electronically.

Nothing within these Conditions or any Market Report is or forms a part of any offer, or any invitation to offer to buy sell or licence any other materials or provide any other services, nor should it or any part of it form the basis of, or be relied upon in any connection with any other contract or commitment whatsoever.

2. DISCLAIMER

Market Reports are provided for illustrative purposes only and we make and give no representations, warranties or undertakings as to the content of any part of a Market Report (including, without limitation, any as to quality, accuracy, completeness or reliability) and material is provided without responsibility on the part of Garrad Hassan or any of its affiliates (being any entity controlled by or under the same control, direct or indirect, as Garrad Hassan, together with Garrad Hassan being individually or collectively, the “GH Group”) or their officers, employees and agents. GH Group and their officers, employees and agents neither assume nor accept any responsibility or liability (including without limitation whether in contract, tort, negligence, breach of statutory duty or under an indemnity) in relation to any content, and no action should be taken or omitted to be taken in reliance upon any content. Market Reports are produced from information relating to dates and periods referred to in the Market Report. Supply of a Market Report does not imply that any information is not subject to change. Garrad Hassan has not conducted wind measurements itself and is not responsible for the accuracy of the data supplied to it. To the extent permitted by law, the maximum combined liability of the GH Group in relation to all claims shall in no case exceed the amount received from you (if any) for the Market Report for all losses in aggregate howsoever caused (including without limitation whether in contract, tort, negligence, breach of statutory duty or under an indemnity). None of the foregoing terms of this paragraph or any other provision of these Conditions shall be taken to exclude any liability for fraud or for negligence causing death or personal injury.

Access to and use of our website is at your own risk and we do not warrant that the use of this website or any material downloaded from it will not cause damage to any property, or cause other loss including but not limited to, loss of data, computer virus infection, spyware, malicious software, trojans and worms. Also, we accept no liability in respect of losses or damages arising out of changes made to the content of this website by unauthorised third parties.

3. PRICE, PAYMENT, RISK AND TITLE

The price of a copy of a Market Report will be as quoted on our website from time to time and is exclusive of any applicable Value Added Tax and of any other tax, duty, tariff or charge arising in the United Kingdom or elsewhere which may be charged at the rate prevailing from time to time. The price is exclusive of any import or export duties, local taxes or other local charges (in each case attributable to or caused by your location or identity), imposts, deductions or sums payable on account of the foregoing or on account of any currency control restrictions which may be in force from time to time (together “Local Duties”), all of which shall be your responsibility. All payments to be made to us shall be made free and clear of and without deduction for or on account of Local Duties unless you are required to make such payment subject to the deduction or withholding of Local Duties, in which case the sum payable by you in respect of which such deduction or withholding is required to be made shall be increased to the extent necessary to ensure that, after the making of such deduction or withholding, we receive and retain (free from any liability in respect of any such deduction or withholding) a net sum equal to the sum which we would have received and so retained had no such deduction or withholding been made or required to be made

Payment shall be by credit or debit card unless otherwise agreed, and be made in full at the time of order. Copies of any Market Reports which you order will be at your risk from the time of dispatch. Ownership of physical materials will only pass to you when we receive full payment of all sums due in respect of the Market Report.

4. COPYRIGHT NOTICE AND RESTRICTIONS

You are responsible for obeying all applicable copyright laws. Garrad Hassan permits you to use and make copies of material within a Market Report as necessarily incidental for your private study or for study within and for the internal business purposes of your organization provided that you acknowledge Garrad Hassan & Partners Ltd as the source of the material and you do not do so for profit. You are not permitted to provide copies, disseminate, distribute, sell, re-sell, or reproduce material or its contents (or any part of it) for any commercial purpose.

No part of a Market Report may be disclosed in any public offering memorandum, prospectus or stock exchange listing, circular or announcement without the express and prior written consent of Garrad Hassan.

All the contents of all materials, including the design, text, graphics, their selection and arrangement within a Market Report, are Copyright © Garrad Hassan & Partners Ltd or its licensors. ALL RIGHTS RESERVED, and all moral rights are asserted and reserved.

5. PERSONAL DATA

We may use and share your information with other members of the GH Group worldwide to help us and them:

• develop customer relationships, services and systems;
• assess financial and insurance risks;
• recover debt;
• prevent and detect crime.

Your information includes information about your transactions. We may also disclose your information to third parties outside the GH Group in certain circumstances, such as:

• where we have your permission; or
• where we are required or permitted to do so by law; or
• to other companies who provide a service to us or you where we may transfer rights and obligations under these Conditions.

6. GENERAL

These Conditions (together with prices and other terms, if any, set out on our website) constitute the entire agreement between you and us and, supersede any previous agreement or understanding and may not be varied except in writing between us. All other terms, expressed or implied by statute or otherwise, are excluded to the fullest extent permitted by law, however, nothing in these Conditions shall exclude liability for fraudulent misrepresentation by us. If any provision of these Conditions shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions of these Conditions which shall remain in full force and effect.

Any failure by us (whether continued or not) to insist upon strict compliance with any provision hereof shall not constitute nor be deemed to constitute a waiver by it of any of our rights or remedies. The rights and remedies conferred upon us hereby shall be cumulative and the exercise or waiver of any part thereof shall not preclude or inhibit the exercise of any other additional rights and remedies.

You may not without our prior written consent assign, transfer, charge or deal in any other manner with these Conditions or any rights hereunder. You agree that the Contracts (Rights of Third Parties) Act 1999 shall not apply to these Conditions.

Any claims resulting out of or related to these Conditions and/or a Market Report (including without limitation whether in contract, tort, negligence, breach of statutory duty or under an indemnity) must be notified to the us within a period expiring one year from the date of supply of the Market Report. Following the expiry of such period, the we shall have no liability to you save in respect of any proceedings commenced by you prior to the expiry of such period.

7. GOVERNING LAW AND JURISDICTION

THESE CONDITIONS ARE GOVERNED BY AND SHALL BE CONSTRUED IN ACCORDANCE WITH THE LAWS OF ENGLAND AND WALES. YOU IRREVOCABLY SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE ENGLISH COURTS TO SETTLE ANY SUIT, ACTION OR OTHER PROCEEDINGS RELATING TO THESE CONDITIONS ("PROCEEDINGS"). NOTHING IN THESE CONDITIONS SHALL PREVENT US FROM BRINGING PROCEEDINGS AGAINST YOU IN ANY JURISDICTION.

You irrevocably agree to waive any objection which you may have at any time to the laying of venue of any Proceedings brought in the English courts and agree not to claim that such Proceedings have been brought in an inconvenient forum or that such court does not have jurisdiction over it.
